Terms & Conditions
Part A covers the use of this website. Part B sets out SMIT’s general terms for quotations, orders and services.
Part A · Website terms
1About these terms
1.1This website, smit.ae, is operated by Saed Mahbub International Trading LLC (“SMIT”, “we”, “us”), a limited liability company licensed in Dubai, United Arab Emirates, with its office at Al Saqr Business Tower, Sheikh Zayed Road, Dubai.
1.2By using this website you accept Part A of these terms. Part B applies to every quotation, order and service SMIT provides, unless a separate written agreement signed by SMIT says otherwise.
2Using the website
2.1You may use this website for lawful business purposes. You must not misuse it, for example by sending spam or harmful code through the enquiry form, trying to gain unauthorised access, disrupting the website, or copying its content in bulk by automated means.
2.2We may restrict access to the website, or to the enquiry form, where we reasonably believe it is being misused.
3Information on the website
3.1The Trade Guide, Incoterms summaries, landed-cost estimator, checklists and notes on regulations are general information for orientation only. They are not legal, tax, customs or financial advice, and results from the estimator are estimates. Check the position for your own goods and destination with a qualified adviser, customs broker or the relevant authority before you rely on it.
3.2Figures published by third parties are shown with their source. We take care to keep the website accurate and up to date, but we do not guarantee that all information is complete or current.
3.3Descriptions of the services and product categories we trade are not an offer to sell. Availability, specifications and prices are confirmed only in a Quotation or Order Confirmation.
4Intellectual property
4.1The SMIT name, logo and emblem, and the design, text and graphics of this website, belong to SMIT or its licensors. You may view and print pages for your own business use. You may not copy, modify or reuse the SMIT logo or emblem without our written permission.
4.2Product names, brands and trademarks of manufacturers belong to their owners. A reference to a brand or product on this website, or in our documents, does not mean that SMIT is an authorised distributor or partner of that brand, unless we say so in writing.
5Links to other websites
5.1Links to other websites, including sources and maps, are provided for convenience. We do not control those websites and are not responsible for their content or their privacy practices.
6Enquiries
6.1Sending an enquiry does not create a contract or oblige either party to trade. We handle the personal data you send as described in our Privacy Policy.
7Changes to the website
7.1We may change, suspend or withdraw any part of the website at any time. We may update these terms; the version published on this page applies from the date shown at the top. Changes to Part B apply to orders confirmed after the change.
Part B · General trading terms
8Definitions
8.1In Part B: Buyer means the business that requests a Quotation or places an Order; Goods means the products SMIT agrees to supply; Services means product sourcing, global trading, market expansion and related services; Quotation means SMIT’s written price proposal; Order means the Buyer’s request to buy Goods or Services; Order Confirmation means SMIT’s written acceptance of an Order, which may be sent by email; and Contract means the Order Confirmation together with these terms.
9When these terms apply
9.1SMIT trades with businesses only. Part B applies to every Contract, and the Buyer’s own terms do not apply unless SMIT agrees to them in writing.
9.2If there is a conflict, a separate written agreement signed by both parties takes priority, then the Order Confirmation, then these terms.
10Quotations
10.1A Quotation is not binding on SMIT until it is accepted through an Order Confirmation. It is valid for the period stated in it.
10.2Quotations are based on the information the Buyer provides and on supplier prices, exchange rates, freight rates, duties and taxes on the date of the Quotation. If any of these change before the Order Confirmation is issued, SMIT may revise the Quotation.
11Orders
11.1A Contract is formed when SMIT issues an Order Confirmation, or when SMIT starts to perform the Order, whichever happens first. SMIT may decline any Order.
11.2The Buyer is responsible for the accuracy of its Order, including descriptions, brands and models, manufacturer part numbers, quantities, configurations, regional versions and the delivery address.
12Specifications
12.1SMIT supplies the Goods described in the Order Confirmation. SMIT is a trading company, not the manufacturer. Manufacturers may change packaging, labelling or minor design details without notice, and such changes are acceptable where they do not materially affect the function of the Goods.
12.2Samples, images and data sheets are for guidance. They form part of the specification only where the Order Confirmation says so.
13Prices and payment
13.1Prices, currency, payment terms, method and due dates are as stated in the Order Confirmation. Unless it states otherwise, prices exclude value added tax and any other taxes, duties and charges, which are added where they apply.
13.2Where the Order Confirmation sets no payment terms, the full price is payable before the Goods are dispatched or the Services are performed.
13.3Each party pays its own bank charges. If payment is late, SMIT may suspend deliveries and Services, hold Goods and shipping documents until payment is received, and recover the costs it incurs as a result, as permitted by UAE law.
14Delivery and risk
14.1Goods are delivered under the Incoterms® 2020 rule and named place stated in the Order Confirmation. Risk of loss or damage passes to the Buyer as that rule provides.
14.2Delivery dates are estimates only. SMIT will keep the Buyer informed of delays, but is not liable for any delay in delivery, whether caused by suppliers, carriers, customs or other authorities, or any other event.
14.3SMIT may deliver an Order in parts, unless the Order Confirmation says otherwise. Each part may be invoiced separately.
15Ownership
15.1To the extent permitted by law, ownership of the Goods passes to the Buyer only when SMIT has received payment in full for them.
16Final sale, no returns
16.1The Buyer is responsible for checking that the Goods meet its requirements before they are dispatched, including by pre-shipment inspection where it wishes. Where pre-shipment inspection takes place, the inspection report is conclusive evidence of the condition of the Goods at the time of inspection.
16.2All sales are final. Goods are treated as accepted by the Buyer on delivery. SMIT does not accept claims, returns or exchanges, and does not give refunds or credits, for Goods that have been delivered.
16.3Loss of or damage to Goods in transit after risk has passed to the Buyer is a matter for the Buyer to pursue with the carrier or its cargo insurer.
17No warranty
17.1SMIT is a trading company and gives no warranty of its own for the Goods, express or implied, including any warranty of quality or fitness for a particular purpose, to the maximum extent permitted by law.
17.2Any manufacturer’s warranty is a matter between the Buyer and the manufacturer, on the manufacturer’s terms. SMIT has no obligation to repair, replace or refund Goods under any warranty.
18Compliance and export controls
18.1Unless the Order Confirmation states that SMIT will obtain them, the Buyer is responsible for the import permits, registrations, type approvals and conformity requirements that apply to the Goods in the destination country. In the UAE, for example, telecom equipment requires TDRA type approval.
18.2The Buyer must give accurate information about the end use, end user and final destination of the Goods. SMIT may refuse, suspend or cancel any Order, without liability, where it reasonably believes that performing it would breach sanctions, export-control, anti-money-laundering or other applicable laws.
18.3Goods classed as dangerous goods, such as lithium batteries, are packed and shipped under the applicable transport rules. Any additional costs this involves are payable by the Buyer unless the Quotation included them.
19Cancellations and changes
19.1The Buyer may cancel or change a confirmed Order only with SMIT’s written agreement. The Buyer must then pay the costs SMIT has incurred, including supplier cancellation charges, freight already booked, and the price of Goods that cannot be cancelled or returned.
19.2Goods ordered specially for the Buyer cannot be cancelled once SMIT has placed the order with its supplier.
20Services
20.1SMIT performs Services within the scope and for the fees agreed in writing. Fees for Services are non-refundable.
20.2Supplier verification, inspection support and market research reduce commercial risk but cannot remove it. SMIT does not guarantee a particular commercial result, such as a supplier at a target price or success in a new market. The Buyer remains responsible for its own commercial decisions.
21Liability
21.1To the maximum extent permitted by UAE law, SMIT has no liability to the Buyer, whether in contract, tort or otherwise, for any loss or damage arising from or in connection with the Goods, the Services or a Contract. This includes indirect or consequential loss and loss of profit, revenue, business, goodwill or data.
21.2Where liability cannot be excluded by law, it is limited to the price paid to SMIT for the Goods or Services concerned.
21.3Nothing in these terms excludes liability for fraud or gross negligence, or any other liability that UAE law does not allow to be excluded.
22Force majeure
22.1Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, war, epidemics, government action, port or airport closures, carrier failures, strikes, supply shortages or cyberattacks. The affected obligations are suspended while the event continues.
22.2If such an event continues for more than 60 days, either party may cancel the affected part of the Contract by written notice. The Buyer remains liable to pay for Goods already delivered and Services already performed.
23Confidentiality
23.1Each party will keep the other’s non-public business information confidential and use it only for the Contract. This includes supplier identities, prices and terms that SMIT shares with the Buyer.
24Law and disputes
24.1These terms, and every Contract, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.
24.2The parties will first try in good faith to settle any dispute by negotiation. If it is not settled within 30 days, the courts of the Emirate of Dubai have exclusive jurisdiction.
25General
25.1The Contract is the entire agreement between the parties about its subject matter. If any provision is found invalid, the rest remains in force. A delay in enforcing a right is not a waiver of it.
25.2The Buyer may not transfer its rights or obligations under a Contract without SMIT’s written consent.
25.3Notices may be sent by email: to SMIT at Admin@smit.ae, and to the Buyer at the email address used for the Order.
25.4These terms are written in English. If they are translated, the English version prevails to the extent permitted by law.
